1. About these Terms

These Terms of Use (the “Terms”) apply to your use of the website www.bondstone.ventures (the “website”). The following documents on the website govern the matters they cover:

These Terms do not govern any investment in, or other relationship with, Bondstone Ventures or the funds it manages. Those matters are governed exclusively by the relevant contractual and fund documents. If you do not agree with these Terms, please do not use the website.

2. Who we are

The website is operated by Bondstone Ventures, SCR, S.A. (“Bondstone Ventures”, “we”, “us”), a venture capital company (sociedade de capital de risco) with registered office at Rua Castilho, 39, 10C, 1250-068 Lisboa, Portugal. It is registered with the Commercial Registry Office of [●] under the single registration and tax number 519208978, with a share capital of €[●]. Bondstone Ventures is supervised by the Comissão do Mercado de Valores Mobiliários (CMVM) and registered with it under number 208062.

3. Use of the website

You may use the website for lawful purposes only. In particular, you must not:

  • attempt to gain unauthorised access to the website or its systems;
  • interfere with its security or operation;
  • introduce harmful code;
  • systematically extract its content by automated means, except where permitted by law.

We may restrict or suspend access to the website where reasonably necessary to protect it or to comply with the law.

4. Website content

The website provides general information about Bondstone Ventures and its activities. Its content may not always be complete or up to date and may be changed at any time without notice. We do not guarantee that the website will be available without interruption or free from errors.

Nothing on the website is investment, legal, tax or other advice, or a recommendation. Nor is it an offer or invitation to subscribe for, buy or sell interests in any fund or other financial instrument, or a solicitation to invest. Investments in funds managed by Bondstone Ventures are made only on the basis of the relevant fund documents and are available only to eligible investors. Venture capital investments carry a high degree of risk, including the possible loss of the entire amount invested, and past performance is not a reliable indicator of future results. References to portfolio companies describe our investment activity and are not a recommendation to invest in them.

Using the website, or contacting us through it, does not create a client, advisory or other contractual relationship with Bondstone Ventures.

5. Information you send us

If you submit a pitch, request information about our funds or otherwise contact us, please send only information you are entitled to share. We use it as described in our Privacy Policy. We are not obliged to respond, to enter into discussions or to invest.

Sending us a pitch does not create a confidentiality agreement. If you consider any information confidential, please do not include it until we have agreed how it will be handled. Given the nature of our business, we may already be assessing or investing in companies with similar ideas or technologies, and receiving your submission does not prevent us from doing so.

6. Intellectual property

The website and its content are protected by copyright, trade marks and other intellectual property rights belonging to Bondstone Ventures or its licensors. Portfolio company names and logos belong to their respective owners. You may view, download and print content for your personal or internal information, provided you do not modify it and keep any copyright notices. Any other use requires our prior written consent, except where permitted by law.

7. External links

The website contains links to third-party websites, such as LinkedIn and the websites of portfolio companies. We do not control those websites and are not responsible for their content or practices. A link does not mean that we endorse the linked website.

8. Liability

To the extent permitted by law, Bondstone Ventures is not liable for loss or damage arising from the use of, or inability to use, the website, or from reliance on its content. This does not limit or exclude our liability for wilful misconduct or gross negligence, or for death or personal injury. Nor does it limit or exclude any other liability that cannot be limited or excluded under applicable law, including mandatory consumer protection rules.

9. Changes to these Terms

We may update these Terms from time to time. The version published on the website applies from the date shown at the top. Changes do not apply retroactively.

10. Governing law and disputes

These Terms are governed by Portuguese law. If you are a consumer, this choice does not deprive you of the protection of the mandatory rules of the law of your country of habitual residence. The courts of Lisbon have jurisdiction over any dispute relating to these Terms, without prejudice to any mandatory rules on jurisdiction, in particular those protecting consumers.
